These terms and conditions apply to business transactions conducted between
PanoTek (Australia) Pty Ltd ABN 82 080 066 182 (“PanoTek”) and the customer (“Customer”).
PanoTek will accept a Purchase Order from the Customer that is consistent with the terms of an official PanoTek Quotation. PanoTek will make reasonable endeavours to supply the Goods as ordered.
Purchase Orders are ordinarily considered to be irrevocable on the part of the Customer. In exceptional circumstances, PanoTek may permit a Purchase Order to be cancelled prior to shipment, subject to the Customer agreeing to pay for PanoTek’s costs incurred, including penalties and cancellation fees imposed by PanoTek’s manufacturers and suppliers.
In the event that, due to a supply chain or manufacturing issue, PanoTek is unable to fulfil an Order accepted in good faith, PanoTek may propose alternative products or configurations to the Customer. If these alternatives are not acceptable to the Customer, then the incomplete portion of the Order shall be deemed cancelled with no further obligation from either party.
Any discrepancy identified between the Order and the invoice must be reported to PanoTek within 1 business day. PanoTek accepts no liability for discrepancy after this time.
These general terms and conditions shall be read in conjunction with any specific terms stated on the Quotation itself. Where any contradiction exists between the two, the terms in the Quotation take precedence.
Where any contradiction exists between the terms of the Quotation and terms of the Customer’s Purchase Order, the terms of the Quotation shall apply.
All transactions are FOB, ex-PanoTek warehouse.
Claims for shortages, shipping damage and invoice discrepancies must be made in writing within 1 business day of delivery/receipt of goods. Please email firstname.lastname@example.org
All deliveries must be signed for, so that proof of delivery can be obtained. PanoTek takes NO responsibility for goods delivered/signed for by other parties/locations.
Legal and Equitable title of all Goods and all materials supplied by PanoTek does not pass to the Customer until all monies owing have been paid.
The risk of Loss or Damage to the Goods is transferred from PanoTek to the Customer at the time of delivery of the Goods to the Customer in accordance with the invoice and any other contracts in place.
Term Accounts are granted only on approval by PanoTek at its absolute discretion.
PanoTek reserves the right to review the credit limit when deemed necessary.
Payment for the invoice must be made in full.
Such payment must be made within the Terms agreed upon between PanoTek and the Customer.
All Purchase Orders placed by customers who do not have trading accounts, will be released only on receipt of cleared funds. Payment may be made by:
(a) Direct Deposit to our Bank Account (details shown on invoice) under advice to us.
(b) Company or Bank Cheque.
Goods are not returnable except in the case of:
(a) Supply of incorrect Goods;
(b) Supply of faulty Goods; or
(c) Damage sustained in shipping.
Before opening any Goods, Customers should ensure:
(a) Goods provided match those listed on the invoice and the packing slips.
(b) Goods received have not been damaged in transit.
A Return Authorisation Number is obtained PRIOR to returning the Goods. Return Authorisation Numbers can be obtained by contacting our Customer Service department on +61 3 9024 8712 or by emailing a request to email@example.com
Goods returned under warranty will be repaired or replaced at the discretion of PanoTek.
Whilst PanoTek will endeavour to return warranted goods to the sender as quickly as possible, temporary replacement items will not be supplied.
Goods returned with No Fault Found will be charged a minimum service fee of $90 + GST per item.
Credit will be issued at the discretion of PanoTek and where applicable restocking fees will apply.
All freight charges will be paid by the customer unless otherwise agreed by PanoTek (unless mis-shipped).
These conditions do not exclude, restrict or modify the application of any provisions of any Commonwealth, State or Territorial law which by law cannot be excluded, restricted or modified.
PanoTek shall not be liable or responsible for any loss, costs damage, injury to property or persons resulting from, arising out of, or in connection with the acquisition, delivery, re-supply, retaking of possession, installation or use of the Goods or any loss, costs, damage or injury resulting from the negligence of the company, its servants or agents or any other cause whatsoever.
Any advice, recommendation, information or representation provided by PanoTek as to the quality of performance of the Goods or their suitability for a particular purpose or otherwise in relation to the Goods is given in good faith but without any liability or responsibility on the part of PanoTek.
The liability of PanoTek for a breach of any term, condition or warranty shall be limited to one of the following:
(a) the replacement of the Goods or the supply of the relevant Goods, or
(b) the repair of the Goods.
The Customer is liable for all and any costs and expenses incurred by PanoTek, including legal costs and the costs of any mercantile or collection agent engaged by PanoTek to protect, recover or enforce any of the PanoTek’s rights under this agreement.
Transactions shall be governed by the laws applicable in the state of Victoria, Australia
